Regency has at its core the ethical
and fair conduct of its affairs. All
employees, officers, managers and
directors are stewards of such conduct.

We are Regency to those who have
relationships with us. Each of us is
expected to abide by the following
Code of Conduct in our duties on
behalf of the company.

I pledge that:

- I will respect and recognize each Regency constituent for their
unique contribution to the company and the environment in which we
operate. Such constituents include all individuals, investors,
vendors, clients, communities and customers affiliated with the
company, as well as each other.

- I will avoid any conduct that is or may be an unapproved conflict
of interest or that will present the appearance of such a conflict of
interest. A conflict of interest is the creation of a personal benefit
to the detriment of Regency or its constituents by virtue of being an
employee, officer, or director of the company.

- I will maintain, protect and preserve in a fair and responsible way
the assets of Regency and its constituents who have entrusted such
assets to Regency for their respective purposes.

- I will maintain, protect and defend confidential information
entrusted to and by Regency.

- I will conduct my activities in compliance with all policies, rules,
regulations and laws that govern Regency or govern our activities
conducted on behalf of or for the company.

- My conduct outside of Regency may be as my own personal beliefs
and individualism deem as best conduct. However, such conduct must
not reflect upon Regency in any manner but in support of the individual
maintaining the highest personal integrity and professional conduct as
required by this Code of Conduct, in support of the Mission and
Vision of Regency.

- I will report any activity suspected of being a violation of this
Code of Conduct to a member of the Board of Managers. My report
will be held in strictest confidence to the extent practicable and
such reporting undertaken in the spirit of upholding the standards of
this Code will not be the cause of retribution regardless of the
ultimate outcome of such report.
